By accessing or using Carefree Computing Cloud (“Service“), you (“User,” “You,” or “Your“) agree to be bound by these Terms of Service (“Terms“). If you do not agree, do not use the Service.

 

1. DEFINITIONS

For clarity, the following terms have the meanings below:

  • “Account” – A user profile created to access the Service.
  • “Content” – Any data, text, files, or other materials uploaded, submitted, or stored by Users.
  • “Force Majeure” – Unforeseeable events (e.g., natural disasters, wars, government actions) preventing Service performance.
  • “Service” – The cloud computing, storage, and related services provided by Carefree Computing Cloud (“Company,” “We,” “Us,” or “Our“).
  • “Third-Party Services” – External services integrated with or linked to the Service (e.g., payment processors, APIs).
  • “User” – Any individual or entity using the Service.
 

2. ACCEPTANCE OF TERMS

  • These Terms constitute a legally binding agreement between You and the Company.
  • We may modify these Terms at any time. Changes will be posted on this page with a 30-day notice before taking effect. Continued use of the Service after changes constitutes acceptance.
  • If You are under 18, You must have parental/guardian consent to use the Service.
 

3. USER RESPONSIBILITIES & PROHIBITED ACTIONS

3.1. Eligibility

  • You must be at least 13 years old (or the legal age in Your jurisdiction) to use the Service.
  • You are solely responsible for compliance with all applicable laws (e.g., GDPR, CCPA, copyright laws).
 

3.2. Prohibited Activities

You must not:
❌ Use the Service for illegal purposes (e.g., hacking, fraud, piracy).
Reverse-engineer, decompile, or modify the Service.
Interfere with or disrupt the Service (e.g., DDoS attacks, spamming).
Upload malicious content (e.g., viruses, malware, phishing links).
Violate intellectual property rights (e.g., copyright infringement).
Impersonate others or provide false information.
Resell or redistribute the Service without permission.

 

3.3. Account Security

  • You are responsible for maintaining the confidentiality of Your account credentials.
  • You must notify Us immediately of any unauthorized access.
  • We reserve the right to suspend or terminate accounts for security violations.
 

3.4. Data Ownership & Licensing

  • You retain ownership of Your Content.
  • By using the Service, You grant Us a worldwide, non-exclusive, royalty-free license to:
    • Store, process, and transmit Your Content.
    • Use anonymized data for analytics and service improvements.
  • You represent and warrant that You have the right to upload and share Your Content.
 

4. PAYMENT, BILLING & REFUNDS

4.1. Pricing & Fees

  • Pricing is subject to change with 30 days’ notice.
  • All fees are non-refundable unless otherwise stated.
  • Taxes (VAT, GST, etc.) are Your responsibility unless included in the price.
 

4.2. Payment Methods

  • Accepted methods: Credit/Debit Cards, PayPal, [Add Others if Applicable].
  • Recurring payments will auto-renew unless canceled 7 days before renewal.
 

4.3. Refund Policy

  • No refunds for monthly subscriptions after the billing cycle starts.
  • Annual subscriptions may be refunded pro-rata if canceled within 14 days of purchase.
  • Free trials convert to paid plans unless canceled before the trial ends.
  • Service credits may be issued for prolonged outages (see Section 9.2).
 

4.4. Failed Payments & Suspension

  • If payment fails, We will notify You via email and attempt to reprocess.
  • After 3 failed attempts, Your account may be suspended until payment is resolved.
  • Reactivation fees may apply.
 

5. TERMINATION & ACCOUNT SUSPENSION

5.1. Termination by User

  • You may cancel Your account at any time via the dashboard or support request.
  • No refunds for partial billing cycles unless otherwise stated.
 

5.2. Termination by Company

We may suspend or terminate Your account immediately for:
Violating these Terms (e.g., illegal use, abuse, fraud).
Non-payment after 3 failed attempts.
Security risks (e.g., compromised account, malware).
Repeated violations of Acceptable Use Policy.

 

5.3. Data Retention After Termination

  • Deleted accounts have 30 days to request data recovery.
  • After 90 days, all data is permanently deleted (unless required by law).
 

6. PRIVACY & DATA PROTECTION

6.1. Data Collection & Usage

  • We collect:
    • Account information (name, email, payment details).
    • Usage data (logs, IP addresses, device info).
    • Content You upload (files, messages, etc.).
  • We use data to:
    • Provide and improve the Service.
    • Communicate with You (e.g., billing, support).
    • Comply with legal obligations.
 

6.2. Data Security

  • We implement industry-standard security (encryption, firewalls, access controls).
  • No system is 100% secure—You acknowledge risks of online data storage.
 

6.3. Third-Party Data Sharing

We may share data with:
Service providers (e.g., payment processors, hosting partners).
Legal authorities (if required by law).
Affiliates & successors (in case of a merger or acquisition).

 

6.4. User Rights (GDPR/CCPA Compliance)

  • Right to Access – Request a copy of Your data.
  • Right to Correction – Update inaccurate information.
  • Right to Deletion – Request data erasure (subject to legal retention).
  • Right to Opt-Out – Unsubscribe from marketing emails.

7. INTELLECTUAL PROPERTY (IP) RIGHTS

7.1. Company’s IP

  • The Service, software, logos, and branding are Our exclusive property.
  • You may not copy, modify, or distribute Our IP without permission.
 

7.2. User’s IP

  • You retain ownership of Your Content.
  • By uploading, You grant Us a license to use, store, and display Your Content solely for providing the Service.
 

7.3. Trademark Use

  • You may not use Our trademarks without written permission.
 

8. DISCLAIMERS & LIMITATIONS OF LIABILITY

8.1. No Warranties

  • The Service is provided “AS IS” without warranties of any kind.
  • We do not guarantee:
    • Uptime (though We strive for 99.9% availability).
    • Error-free performance.
    • Security of Your data (You are responsible for backups).
 

8.2. Limitation of Liability

  • We are not liable for:
    • Indirect, incidental, or consequential damages (e.g., lost profits, data loss).
    • Unauthorized access to Your account (if caused by Your negligence).
  • Our total liability is limited to the amount You paid in the last 12 months.
 

8.3. Indemnification

  • You agree to defend, indemnify, and hold Us harmless from:
    • Claims arising from Your misuse of the Service.
    • Violations of these Terms or applicable laws.
 

9. SERVICE LEVEL AGREEMENT (SLA)

9.1. Uptime Guarantee

  • We aim for 99.9% monthly uptime.
  • Exclusions: Scheduled maintenance, Force Majeure, or User-caused outages.
 

9.2. Compensation for Downtime

  • If uptime falls below 99.9%, You may request service credits as follows:
    • 99.0% – 99.9%: 5% credit.
    • Below 99.0%: 10% credit.
  • Credits are not automatic—You must request them within 30 days.
 

10. DISPUTE RESOLUTION & GOVERNING LAW

10.1. Informal Resolution

 

10.2. Arbitration (U.S. Users)

  • Disputes will be resolved via binding arbitration (not court) under AAA rules.
  • Class action waiver: You agree to individual arbitration (no class lawsuits).
 

10.3. Governing Law

  • These Terms are governed by the laws of [Your State/Country].
  • Jurisdiction: Disputes will be resolved in [Your Local Court].
 

11. MISCELLANEOUS

11.1. Entire Agreement

  • These Terms supersede all prior agreements.
 

11.2. Severability

  • If any clause is invalid, the rest of the Terms remain in effect.
 

11.3. Assignment

  • We may transfer these Terms to a successor (e.g., in a merger).
  • You may not transfer Your rights without Our consent.
 

11.4. Waiver

  • If We don’t enforce a term, it doesn’t mean We waive it.
